Acquisition of Semiconductor Manufacturing Equipment-Related Business From U.S. Manufacturer

NGK Insulators, Ltd. (President: Taro Kato; Headquarters: Nagoya, Japan) has announced that NGK subsidiary FM Industries, Inc. acquired the advanced components business on February 1, 2012 from Praxair, Inc., the largest U.S. industrial gases manufacturer. Based in Fremont, California, U.S.A., FM Industries manufactures metal components for semiconductor manufacturing equipment. The advanced components business is engaged in the production and coating of semiconductor manufacturing equipment components. Through this business acquisition, NGK will strengthen its business foundations in ceramic products for semiconductor manufacturing equipment, with the aim of driving further growth in the Electronics Business.

The advanced component business of Praxair is a division of Praxair Surface Technologies, Inc., a subsidiary of Praxair, and is engaged in the production of semiconductor manufacturing equipment components and the coating of these components to increase their corrosion resistance. With manufacturing sites in Poughkeepsie, New York and Phoenix, Arizona, the advanced component business reported net sales of US$28 million in 2011 and has around 70 employees.

NGK acquired FM Industries in 2002. In 2010, FM Industries acquired LJ Engineering and Manufacturing Inc., which is based in Santa Clara, California. By combining the two companies' metal machining and module production technologies with NGK´s ceramics technologies, NGK was able to expand its ceramic business for semiconductor manufacturing equipment.

Through the acquisition of the advanced component business from Praxair, NGK will lay stronger business foundations by expanding the ceramic business for semiconductor manufacturing equipment, with the aim of driving further growth in the Electronics Business.
